These Terms of Service (“Terms”) are a binding agreement between ResponiQ LLC (“ResponiQ”, “we”, “us”) and the individual or entity that registers for or uses the Service (“you”). By creating an account, clicking “I agree,” or using the Service, you accept these Terms. If you do not agree, do not use the Service. If you accept on behalf of an organization, you represent that you have authority to bind it.
ResponiQ is a software-as-a-service platform that connects to your Google Business Profile and (a) imports your publicly posted customer reviews, (b) uses artificial intelligence to generate suggested draft replies, and (c) provides analytics and related tools (the “Service”). ResponiQ is a software tool. ResponiQ is not a marketing agency, reputation-management consultant, legal advisor, medical advisor, or your agent, and nothing in the Service constitutes professional advice of any kind.
You must be at least 18 and provide accurate registration information. You are responsible for all activity under your account and for keeping your credentials secure. You must have all rights and authorizations necessary to connect any Google Business Profile or other account you link to the Service.
This Section is fundamental to the bargain between us. You acknowledge and agree that:
You waive any claim against ResponiQ arising out of or relating to the content of any AI-generated draft or any reply published from your account. This Section survives termination. See also the AI & Acceptable Use Addendum, which is incorporated by reference.
If you are a healthcare provider (including a physical therapist, chiropractor, or similar) or otherwise subject to privacy, advertising, or professional-conduct regulations: (a) you are solely responsible for ensuring that any reply published from your account complies with all laws and professional rules applicable to you, including not confirming any individual's patient status and not disclosing protected health information (“PHI”) in a public reply; (b) ResponiQ processes only publicly posted reviews and does not intentionally collect PHI, ResponiQ is not a “covered entity” or “business associate” under HIPAA, and you agree not to input PHI into the Service; (c) ResponiQ's AI guardrails are a convenience feature, not a compliance guarantee, you remain solely responsible for your regulatory compliance. Healthcare customers are strongly advised not to enable auto-approve.
New accounts receive a 14-day free trial with limited usage; no payment method is required and nothing is charged unless you subscribe. Paid subscriptions are billed in advance through our payment processor (Stripe) on the plan and billing cycle (monthly or annual) you select, including any per-location add-ons. All fees are non-refundable except where required by law. Subscriptions renew automatically until cancelled; you may cancel at any time and cancellation takes effect at the end of the current billing period. We may change pricing on 30 days' notice, effective at your next renewal. You are responsible for all applicable taxes; where required we calculate and collect sales tax. Failure to pay may result in suspension or termination.
You agree not to: use the Service unlawfully or to publish unlawful, defamatory, harassing, deceptive, or infringing content; post fake, incentivized, or misleading reviews or replies in violation of Google's or any platform's policies; misrepresent your identity or authority over a business; attempt to access the Service's source, circumvent rate limits or security, or reverse engineer the Service; resell the Service except as expressly permitted; or input PHI or other sensitive personal data the Service is not designed to handle. We may suspend or terminate immediately for any violation.
The Service depends on third-party platforms, including Google (Business Profile APIs), Anthropic, and Stripe. Your use of those platforms is governed by their terms, and you must comply with Google's policies for review replies. ResponiQ is not responsible for any third party's acts, omissions, outages, API changes, suspensions, or termination of your access, even where they prevent the Service from functioning.
As between the parties, ResponiQ owns all rights in the Service and its software, and you own your business data and the content you publish. You grant ResponiQ a limited license to process your data to provide and improve the Service. We may use aggregated, de-identified data for analytics and product improvement.
THE SERVICE AND ALL AI-GENERATED DRAFTS ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITH ALL FAULTS AND WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY LAW, RESPONIQ DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. RESPONIQ DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT ANY AI-GENERATED DRAFT WILL BE ACCURATE, APPROPRIATE, COMPLIANT, OR FIT FOR ANY PURPOSE. RESPONIQ MAKES NO WARRANTY REGARDING ANY OUTCOME, INCLUDING ANY EFFECT ON YOUR REPUTATION, RATINGS, RANKINGS, REVENUE, OR CUSTOMER RELATIONSHIPS.
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
You will defend, indemnify, and hold harmless ResponiQ and its members, officers, employees, and agents from any third-party claims, losses, liabilities, damages, fines, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) any reply or content approved or published from your account; (b) your use of the Service; (c) your breach of these Terms or violation of any law or third-party right (including Google's policies and any healthcare, privacy, or advertising regulation applicable to you); or (d) your input of PHI or other prohibited data.
These Terms apply while you use the Service. You may cancel at any time (Settings), and you may permanently delete your account and data at any time (Settings → Danger zone). We may terminate on 30 days' notice, or immediately for your breach, non-payment, or risk to the Service or others. Sections 3, 4, 8–11, and 13 survive termination.
These Terms are governed by the laws of the State of Washington, without regard to conflict-of-laws rules. The exclusive venue for any dispute is the state and federal courts located in King County, Washington, and each party consents to personal jurisdiction there. Any claim must be brought within one (1) year after it arises. Each party waives any right to a jury trial and agrees that any dispute will be brought only in an individual capacity and not as a plaintiff or class member in any class or representative action.
We may update these Terms by posting a revised version and updating the “Last updated” date; material changes will be notified by email or in-app at least 14 days before they take effect. Continued use after the effective date constitutes acceptance.
These Terms (with the Privacy Policy, the AI & Acceptable Use Addendum, and any Data Processing Addendum) are the entire agreement and supersede prior agreements on this subject. If any provision is held unenforceable, it will be limited or severed and the rest remains in effect. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. Notices to ResponiQ: legal@responiq.app.
